POSITION SUMMARY

The Corporate Transactions Specialist is a key member of the Corporate, Real Estate, Acquisitions, Franchising and Transactions (CRAFT) subteam within the Legal Department of a growing restaurant company. The Corporate Transactions Specialist will provide direct support for all functions of the CRAFT subteam as more particularly described below and will perform such other tasks and projects as may be assigned. As a part of this direct support, the Corporate Transactions Specialist will play a vital role (i) in support of the Company's entity management and corporate transactions activities, (ii) in support of the Company's Board of Directors and (iii) in support of the legal operations function and other duties as directed by Team Lead and other leaders of the Texas Roadhouse Legal Department. In general, we expect the Corporate Transactions Specialist to have a growth mentality, the ability to multi-task, and collaboratively work in a fast-paced environment with multiple teams.

Essential duties include:

  • Entity Management:

  • Organizing and maintaining corporate organizational records, including uploading documents and updating corporate record books;
  • Performing research related to corporate documents and entities;
  • Performing all corporate state filings and supporting documentation to qualify and maintain good standing for entities under the Texas Roadhouse corporate umbrella;
  • Drafting share transfer agreements relating to transfers of ownership interests in various corporate entities;
  • Maintaining the ownership records of all entities under the Texas Roadhouse umbrella, including updating organizational charts and related documents;
  • Drafting delegations of authority, resolutions, and other corporate documents; and
  • Assisting in the preparation of organizational documents for new corporate entities.

  • Public Company:

  • Assisting in the preparation of the annual D&O Questionnaires for Section 16 Officers and Directors;
  • Performing the Company's annual conflict minerals disclosure;
  • Reviewing and analyzing other companies' public filings and corporate governance documents for the purposes of benchmarking and identifying trends as requested by Team Lead;
  • Assisting in the preparation of the Annual Shareholder Meeting materials, including, without limitation, scripts, ballots, Inspector's oath and certification, certified list of record date shareholders, CEO shareholder presentation, and other logistics;
  • Coordinating, preparing, and planning the Company's Annual Shareholder Meeting, in partnership with the Team Lead and Board Support Team, which includes but is not limited to, communicating with internal and external meeting attendees and coordinating all meeting logistics;
  • Supporting the Board of Directors on administrative matters as requested by Team Lead; and
  • Acting as a liaison between the Board of Directors and Company employees as needed.

  • Legal Operations and Analytics:

  • Preparing reports and materials as requested by Team Lead and other leaders of the Legal Department in support of legal operations;
  • Supporting the Team Lead in the creation and maintenance of the budget for the CRAFT subteam, together with all reporting with respect to the same;
  • Assisting the Legal Department leaders in the preparation of the annual budget for their respective subteams;
  • Analyzing legal vendor fees incurred to determine trends and assisting in forecasting future legal fees;
  • Assisting in the onboarding and ongoing support of legal vendors;
  • Assisting in the preparation of reports and materials relating to business reviews between the Legal Department and key legal vendors;
  • Acting as a liaison between the Legal Department and our legal vendors, including providing guidance on the use of the Legal Departments e-billing system, adherence of legal vendor requirements, and submittal of accruals information; and
  • Interacting with in-house accounting team on forecasting and tracking of legal spend.

  • Compliance:

  • Playing a key role in the tracking and implementation of certain Company compliance trainings as requested by Team Lead, including the Company's Stock Trading Policy;
  • Assisting in preparing training materials relating to the same; and
  • Assisting in the reporting on the Company's other compliance training programs as requested by the Team Lead.

  • Partnership:

  • Acting as a liaison for field operators and Support Center partners in furtherance of the support functions described above;
  • Acting at direction of counsel or Team Lead and maintaining the strictest of confidence regarding materials the individual comes in contact with (which will include Company trade secrets, confidential information, and intangible assets);
  • Creating training materials, guidance documents, partnership playbooks (workflows), checklists, and other tools regarding matters described above;
  • Interacting with the Company's Board of Directors and Executives; and
  • Partnering closely with the various teams within Accounting, Legal, Fixed Assets, Risk and Treasury Departments, as well as vendor partners.

MINIMUM QUALIFICATIONS

Education: Bachelor's Degree required in Business, Accounting, Finance or related field. Extensive equivalent work experience will also be considered.

Experience: 3+ years of relevant work experience in Business, Accounting, Analytics, Reporting, and Finance. However, all relevant experience will be considered.

Computer/Technology Skills: Proficiency with Microsoft applications (Teams, OneDrive, OneNote, Outlook, Word, Excel, PowerPoint), Adobe required. The applicant should be comfortable with or willing to learn database systems, e-billing and matter management systems, document management systems, electronic signature systems, and other web-based systems.

Other Skills: Professionalism, outstanding organizational skills, strong attention to detail, strong interpersonal skills, ability to multi-task and meet deadlines under pressure, and the desire and ability to work in a fast-paced, team-oriented environment required.
